These General Terms and Conditions of Sale (hereinafter referred to as ‘GTC’) are agreed between, on the one hand, RANI E-BUSINESSES, a company incorporated under French law with registration number Paris A 912855624 in the Paris Trade Register, having its registered office at 6 Rue d'Armaillé, 75017 Paris - FRANCE, and, on the other hand, any person who has visited and/or made a purchase on the steloria.com website, hereinafter referred to as ‘the User’. Any purchase or visit to the steloria.com website (hereinafter the ‘Website’) automatically implies acceptance of all of these terms and conditions.

Firstly, it is necessary to define the terms used in these GTC.

PRELIMINARY ARTICLE

Customer : any user of the Website who has a customer account on the Website and/or who purchases a Product through the Website. Each Customer is a User of the Website.

Order : the process whereby the Customer selects the Products they wish to purchase on the Website. This Order is finalised when the Customer has selected the products they wish to have delivered, as well as the delivery options, and when they have completed the payment for these products.

Product : refers to any product that can be viewed or purchased on the Website by a User. This may be a product that is available on the Website but has not yet been purchased by the User, or a product that is (or is not) available on the Website and has been purchased by the User.

User : any person who accesses the Website, regardless of whether they are a Customer or not. 

Website : the steloria.com web page and all related web pages.

ARTICLE 1 – PURPOSE AND SCOPE OF THE GTC

1. The purpose of these GTC is to define the conditions under which Users may access or use the Website.
2. The parties are bound by all the terms, conditions and policies described herein, as well as by any additional terms, conditions and policies referred to in these GTC.
3. By visiting any part of this Website and/or purchasing a Product, each User agrees, without restriction or reservation, to comply with these GTC.
4. These GTC are notified to Users for acceptance prior to any Order on the Site. These GTC are considered an offer, the acceptance of which is limited to the strict terms, conditions and policies defined in 2) of this article.
5. All new tools, features, Products and services added after the date of publication of these GTC shall also be subject to these GTC.

ARTICLE 2 – CURRENT VERSION OF THE GTC

1. The prevailing version of the GTC is the latest version available on the Website.
2. RANI E-BUSINESSES is free to update, change or replace any part of these GTC at any time and without notice, in order to take into account any administrative injunction or recommendation, as well as any legal, jurisprudential and/or technical developments. When finalising a new Order, the Customer accepts the GTC in force on the date of said Order. It is the responsibility of each User to regularly consult the updates to these GTC at the following address: https://steloria.com/cgv
3. The User's access to the Website and/or use of any feature of this Website by the User, after the publication of any modification to these GTC, constitutes the User's acceptance of these new GTC. If a User refuses the GTC or their subsequent modifications, it is their responsibility to refrain from using the Website.

ARTICLE 3 – TERMS AND CONDITIONS OF USE OF THE WEBSITE

1. The Website is hosted on Shopify.Inc, a provider of the digital e-commerce platform that enables RANI E-BUSINESSES to present and sell its Products and services.
2. By accepting these GTC, the User expressly declares that they have reached the age of majority in their country, state or province of residence, and that they have given their consent to allow any minor to use the Website under their responsibility.
3. If the User is a legal entity, they must be duly represented, under the conditions provided for by law, which they expressly acknowledge and accept.
4. The User undertakes not to use the Products or services of this Site for any illegal or unauthorised purpose.
5. The User undertakes not to jeopardise the proper functioning of the Site by using computer means such as worms, viruses or any other computer code or process that may be harmful to the Site.
6. The Site service, its operation and any part or content of the Site service may be interrupted at any time by RANI E-BUSINESSES without prior notice or any other prior information to the User. RANI E-BUSINESSES is not responsible for any suspension or interruption of the service, any part of the Site service or its operation.

ARTICLE 4 – GENERAL TERMS AND CONDITIONS

1. RANI E-BUSINESSES reserves the right to refuse access to the services to any person at any time for any reason. In addition, RANI E-BUSINESSES reserves the right to limit the sale of Products or services in any geographical region or jurisdiction.
2. RANI E-BUSINESSES reserves the right to limit the quantities of any Product or service it offers.
3. The User acknowledges and agrees that all Product descriptions and prices are subject to change at any time without notice, at the sole discretion of RANI E-BUSINESSES.
4. RANI E-BUSINESSES reserves the right to discontinue offering any Product at any time without notice, at the sole discretion of RANI E-BUSINESSES.
5. RANI E-BUSINESSES acknowledges that any offer of Products or services presented on its Site is void where prohibited by law.
   

ARTICLE 5 – PRICES

1. The User acknowledges and accepts that the prices of Products may be changed without notice. In particular, such changes may occur due to variations in raw material prices, logistics costs or any other reason. RANI E-BUSINESSES is not responsible for the consequences of such price changes.
2. The prices of the Products applied to the Customer are those displayed on the Website at the time of their Order.
3. Product prices are in euros and include all taxes.
   

ARTICLE 6 – PRESENTATION OF ITEMS

1. The User declares that they are aware that photographs of the Products are displayed on the Website and that these photographs provide as clear a representation as possible of the appearance of the Products, particularly with regard to their colour.
2. The User acknowledges that RANI E-BUSINESSES cannot guarantee that the Products will be exactly identical to the photographs, due in particular to technical constraints in making the photographs available on the Website, or differences between the screens of Users' electronic devices.
3. The User acknowledges and accepts that RANI E-BUSINESSES does not guarantee that the quality of all Products, services and information will meet the User's expectations, nor that any error in the service or operation of the Website will be immediately and systematically corrected by RANI E-BUSINESSES.
4. The User acknowledges and accepts that the Website may contain typographical errors, inaccuracies or omissions that may relate to product descriptions, prices, promotions, offers, product shipping costs, delivery times and product availability. RANI E-BUSINESSES reserves the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders, if any information on the Website is inaccurate, at any time and without notice, including after a Customer has placed an Order.
5. The User acknowledges and agrees that RANI E-BUSINESSES is not required to update, modify or clarify information on the Website or any associated website, including but not limited to pricing information, unless such clarification is required by law.
6. The User declares that they are fully aware of the provisions of this article and therefore agrees not to hold RANI E-BUSINESSES liable in this regard, except in cases provided for by law.
   

ARTICLE 7 – OPTIONAL TOOLS

1. RANI E-BUSINESSES may in some cases provide access to third-party tools over which it has no monitoring, control or influence, which the User acknowledges.
2. The User expressly acknowledges and accepts that RANI E-BUSINESSES provides access to such tools ‘as is’ and ‘as available’, without any warranty, representation or condition of any kind, and without any approval required from the User.
3. The User expressly acknowledges and accepts that the use of the optional tools available on the Website is at their own risk and discretion. RANI E-BUSINESSES recommends that the User consult the terms and conditions to which these tools are subject by the relevant third-party provider(s).
4. The User declares that they are fully aware of the provisions of this article and therefore agrees not to hold RANI E-BUSINESSES liable in this respect, resulting from or related to the use of these optional third-party tools, except in cases provided for by law.
   

ARTICLE 8 - THIRD-PARTY LINKS

1. The User acknowledges that certain content, Products and services available through the Site may include elements from third parties.
2. The User acknowledges that links from third parties on this Site may redirect them to third-party websites that are not affiliated with RANI E-BUSINESSES. RANI E-BUSINESSES is not obligated to review or evaluate the content or accuracy of these sites, and does not guarantee and assumes no responsibility for any content, website, product, service or other element accessible on or from these third-party sites.
3. The User expressly acknowledges and agrees that RANI E-BUSINESSES is not responsible for any harm or damage related to the purchase or use of goods, services, resources, content, or any other transaction made in connection with these third-party websites.
4. RANI E-BUSINESSES advises the User that they are responsible for carefully reading and understanding the policies and practices of third parties before engaging in any transaction. Complaints, claims, concerns, or questions regarding the products of these third parties should be submitted to those third parties.

ARTICLE 9 – COMMENTS, SUGGESTIONS AND OTHER USER PROPOSALS

1. The User expressly acknowledges and agrees that if they submit specific content to RANI E-BUSINESSES or about RANI E-BUSINESSES, or communicate creative ideas, suggestions, proposals, plans and/or other elements for improving the Site, Products or service of RANI E-BUSINESSES, whether online, by email, by post, or by any other means of communication, including by posting comments on the Website, RANI E-BUSINESSES reserves the right, at any time and without restriction, to edit, copy, publish, distribute, translate and otherwise use all such comments from RANI E-BUSINESSES in any media.
2. The User expressly acknowledges and agrees that RANI E-BUSINESSES is not required (1) to maintain the confidentiality of such comments (2) to pay compensation or remuneration to anyone for such comments (3) to respond to or ensure the publication of such comments.
3. The User expressly acknowledges and agrees that RANI E-BUSINESSES has the power but no obligation to monitor, modify or delete content communicated or published on the Site that RANI E-BUSINESSES deems, at its sole discretion, to be illegal, offensive, threatening, abusive, defamatory, pornographic, obscene, vulgar or otherwise objectionable, or that infringes any intellectual property or these GTC.
4. The User undertakes to write comments that are respectful and courteous and do not violate the rights of third parties, including copyrights, trademarks, confidentiality, personality or other personal or property rights.
5. The User agrees to write comments and communicate with RANI E-BUSINESSES without using a false email address, and/or pretending to be someone they are not, and/or attempting to mislead RANI E-BUSINESSES staff and/or third parties as to the origin of their comments.
6. The User acknowledges that they are entirely responsible for all comments they publish, their consequences and their accuracy. RANI E-BUSINESSES assumes no responsibility and declines any commitment regarding any comments published by the User.

ARTICLE 10 – PERSONAL INFORMATION

ARTICLE 11 – ACCURACY OF BILLING AND ACCOUNT INFORMATION

1. The Customer expressly agrees and accepts to provide all Order and account information that is up to date, complete, comprehensive, accurate and truthful concerning all Orders placed on the Website.
2. The Customer expressly agrees and accepts to keep all information relating to their account up to date, in particular their email address, credit card numbers and expiry dates, for the proper execution of the Order they have placed. RANI E-BUSINESSES cannot be held liable in this regard.
3. RANI E-BUSINESSES reserves the right to limit or prohibit Orders which, in its sole judgement, may appear to originate from merchants, resellers or distributors.

ARTICLE 12 – PROHIBITED USES

The User expressly agrees and accepts not to use the site or its content for illegal purposes, or to incite third parties to carry out illegal acts, or to infringe or violate the intellectual property rights of RANI E-BUSINESSES and those of third parties, or to submit false, misleading and/or defamatory information to the public, or to collect or track the personal information of others, or to spam, phish, hijack a domain, extort information, browse, explore or scan the web, or to infringe or circumvent the security measures of the Website.

ARTICLE 13 – ORDER

1. The User may browse the Site without any obligation to purchase.  To place an Order, the Products must be selected by the Customer, who adds them to their basket. It is not necessary to create a personal account on the Site to place an Order.
2. Once the Order has been finalised, RANI E-BUSINESSES will confirm its acceptance by sending an email to the email address provided by the Customer when placing the Order. The Order is finalised once the Customer has made full payment and this payment has been received by RANI E-BUSINESSES.
3. The Customer expressly acknowledges and accepts that a finalised Order that is in the process of being dispatched cannot be cancelled.
4. Once the Order is finalised, RANI E-BUSINESSES undertakes to automatically send a tracking number to the Customer at the email address provided when registering for an account on the Website or indicated by the Customer when placing the Order.
    The Customer is required to record this tracking number and, if it is not received, to check their spam and/or email filters. The Customer expressly acknowledges and accepts that RANI E-BUSINESSES cannot be held responsible for the loss, incorrect recording or lack of diligence in finding the tracking number by the Customer.
5. Once the Order has been finalised, RANI E-BUSINESSES undertakes to send the Products within 8 to 12 working days. The Customer expressly acknowledges and accepts that this period may be extended due to the occurrence of an event of force majeure as defined in French case law and the Civil Code, or any other event that was not reasonably under the exclusive control of RANI E-BUSINESSES.
   
6. RANI E-BUSINESSES undertakes to honour confirmed Orders, subject to availability. The User expressly acknowledges and accepts that RANI E-BUSINESSES reserves the right to refuse any Order placed by a User in the event of a stock shortage or due to the occurrence of a force majeure event as defined in French case law and the Civil Code, or any other event that was not reasonably under the exclusive control of RANI E-BUSINESSES, in particular an excessive and sudden increase in RANI E-BUSINESSES' order book for one or more Products.
7. The User expressly acknowledges and agrees that RANI E-BUSINESSES reserves the right, at its sole discretion, to reduce or cancel the quantities purchased per person, per household or per order. These restrictions may include Orders placed by or from the same customer account, the same credit card, and/or Orders that use the same billing and/or shipping address.
8. In the event of a modification or cancellation of an Order, RANI E-BUSINESSES shall notify the Customer by contacting them via email and/or telephone provided by the Customer and/or by post to the billing address.

ARTICLE 14 – DELIVERY, EXCHANGE, RETURNS

1. Delivery costs are specified on the Website, including all taxes, and are displayed to the Customer when placing the Order. The Customer must accept these costs when confirming the Order.
2. The Customer expressly acknowledges and accepts that delivery costs depend on the territory of the Product's delivery address.
3. As RANI E-BUSINESSES uses external service providers (carriers, postal services, various logistics and delivery providers, etc.) to ship and deliver Products, RANI E-BUSINESSES depends on these third parties and is entirely dependent on these service providers. Consequently, the User expressly acknowledges and accepts that the shipping and delivery times indicated on the Website and in these GTC may be extended due to these third-party service providers, without RANI E-BUSINESSES being liable for any delays in delivery and any consequences that may arise therefrom.
4. The Customer expressly acknowledges and accepts that the automated tracking indicating delivery, listed by the tracking number automatically communicated to the Customer in accordance with the conditions of Article 9, 4), is proof between the Parties of the proper receipt of the Product. Furthermore, the Customer expressly acknowledges and accepts that they are required to provide any evidence of non-delivery, which they undertake to provide to RANI E-BUSINESSES as soon as possible so that its customer service department may, at its own discretion and in its assessment of the evidence provided by the Customer, decide to resend Products identical to those ordered to the Customer, at no additional cost to the Customer.
5. In accordance with the provisions of Article L.221-28 of the French Consumer Code, the Customer expressly acknowledges and accepts that the Products cannot be exchanged or refunded, unless the Products delivered are defective within the meaning of the Civil Code, i.e. if they are Products that do not offer the safety that a standard person can legitimately expect. In the latter case, the Customer must provide all evidence of the product's lack of safety to RANI E-BUSINESSES as soon as possible, failing which RANI E-BUSINESSES will not exchange or refund the Product, which the Customer expressly acknowledges and accepts.
6. Products are delivered within 8 to 14 working days after dispatch. The Customer is informed that, on average, Products are delivered within 12 working days after dispatch.
7. The User expressly acknowledges and accepts that a temporary stock shortage, caused by high demand, may slow down the dispatch of Products and increase the dispatch time by 1 to 6 working days.

ARTICLE 15 – LIMITATION OF LIABILITY AND LEGAL WARRANTIES

1. The User expressly acknowledges and accepts that RANI E-BUSINESSES cannot be held liable under the obligations of these GTC if the non-performance of its obligations is attributable to a third party, even if it is a foreseeable event, the fault of the Customer, or the occurrence of an event of force majeure as defined in French case law and the Civil Code, or any other event that was not reasonably under the exclusive control of RANI E-BUSINESSES.
2. The User expressly acknowledges and accepts that RANI E-BUSINESSES declines all liability for damages of any kind resulting in particular from the use of the Website or the Ordering of Products. This may include, in particular, damage resulting from the interruption of the Website's service, or its slowdown, or its failure in terms of security and data protection, or errors on the Website, or damage to the reputation and image of the User and/or the Customer as a result of the above failures. RANI E-BUSINESSES shall in no event be held liable for any interruption of all or part of the Website, regardless of the cause, duration or frequency of such interruption.
3. The User expressly acknowledges and accepts that their use of the Website, or their inability to use it, is at their sole risk. The Website is provided ‘as is’, and the Products and services are provided ‘as is’ and ‘as available’ for the User's use.
4. RANI E-BUSINESSES, its directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers and licensors shall in no event be liable for any injury, loss, claim, or any type of damage, including but not limited to loss of profits, revenue, savings, data, replacement costs or any similar damages, whether contractual, tortious (even in the event of negligence), strict liability or otherwise, resulting from a User's use of any service or Product originating from the service, or for any other claim related in any way to your use of the service or any product, including but not limited to any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available through the service, even if you have been advised of the possibility of their occurrence. Because some states or jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, RANI E-BUSINESSES' liability shall be limited to the maximum extent permitted by law.
5. In accordance with the provisions of the Consumer Code, the Customer has a period of 14 clear days to exercise their right of withdrawal without having to justify their reasons or pay penalties, except for return costs. The right of withdrawal may only be exercised if the Products have not been unpacked, opened, damaged or used by the Customer, failing which the Products may not be returned.
6. The period starts from the day the Customer receives the goods. The Customer must contact RANI E-BUSINESSES at the address RANI E-BUSINESSES as soon as possible to notify them of their decision to exercise their right of withdrawal.
7. In the event of successful withdrawal by the Customer, RANI E-BUSINESSES undertakes to refund all sums received in respect of the order placed by the Customer within 14 days of receipt of the Products by RANI E-BUSINESSES.
8. If RANI E-BUSINESSES finds that the Product returned by the Customer is damaged, worn, or in a condition that does not correspond to that of the shipment, no refund will be made by RANI E-BUSINESSES. This rule also applies in the absence of the label or original packaging.
9. RANI E-BUSINESSES is responsible for the conformity of the Products upon delivery, and the Customer may contest the non-conformity of the delivered Product within the meaning of Article L.217-5 of the Consumer Code.
10. The Customer has a period of 2 years from the delivery of the Product to report any non-compliance to RANI E-BUSINESSES and choose whether they want it repaired or replaced. In accordance with Article L.217-8 of the Consumer Code, RANI E-BUSINESSES reserves the right not to comply with the Customer's choice if it entails a cost that is clearly disproportionate to the other option, taking into account the value of the Product or the significance of the defect in the Product.
11. RANI E-BUSINESSES guarantees the Customer against hidden defects in the Product in accordance with Article 1641 of the Civil Code.
12. The Customer's warranty is expressly excluded in the event of damage or deterioration of the Product due to use that is not in accordance with its intended purpose or due to the Customer. This includes, but is not limited to, failure to comply with the precautions for use of the Product, such as unusual handling or lack of diligence in the proper use of the Product by the Customer or a third party, transport of the Product or its exposure to substances incompatible with the use of the Product, modification, handling or customisation of the Product by the Customer or a third party.
13. The warranty is expressly excluded in the event of the Product being returned by the Customer in a condition other than that in which it was delivered to the Customer. The warranty only applies if the Product is returned with its original packaging, accessories, user manual, labels and all other items present at the time of delivery of the Product.

ARTICLE 16 - INDEMNIFICATION

The User expressly agrees to indemnify, defend and protect RANI E-BUSINESSES and its parent company, subsidiaries, affiliates, partners, officers, agents, directors, licensors, contractors, service providers, subcontractors, suppliers, interns and employees, against any claim or demand, including reasonable legal fees, made by any third party arising from the User's breach of these GTC or the documents referenced herein.

ARTICLE 17 – SEVERABILITY

In the event that any provision of these GTC is deemed illegal, void or unenforceable, that provision shall be deemed severable from the other provisions of these GTC, which shall remain valid and enforceable. Such severance shall not affect the validity and enforceability of all other remaining provisions.

ARTICLE 18 – TERMINATION

The obligations and responsibilities incurred by the parties prior to the date of termination of these GTC shall remain in force after the termination of this agreement for all purposes.
These GTC are effective unless and until terminated. The User may terminate these GTC at any time by notifying RANI E-BUSINESSES that they no longer wish to use the services of RANI E-BUSINESSES or its Website.
The User expressly acknowledges and agrees that if they fail to comply with the terms and conditions of these GTC, or if RANI E-BUSINESSES suspects that the User has been unable to comply with the terms and conditions of these GTC, RANI E-BUSINESSES may terminate this agreement at any time without notice, in which case the User shall remain liable for all sums due up to and including the date of termination, and/or shall have their access to RANI E-BUSINESSES' services and/or the Website (or any part thereof) denied.

ARTICLE 19 – NON-WAIVER

The failure of RANI E-BUSINESSES to exercise the rights granted to it by these GTC shall in no way be interpreted as a waiver of such rights.
Any ambiguity regarding the interpretation of these GTC shall not be interpreted to the detriment of the drafting party.

ARTICLE 20 – APPLICABLE LAW

These GTC, as well as any other separate agreement through which RANI E-BUSINESSES provides services, shall be governed by and interpreted in accordance with the laws in force in the United Arab Emirates, which the User expressly acknowledges and accepts.
